Terms of Service

1. The Service

ParkTab is a platform that lets drivers find, start, extend, and pay for parking at participating lots, and lets parking operators manage pricing, sessions, and enforcement. A parking session is a transaction between you and the parking operator for the location where you park. Depending on the location, ParkTab, Inc. may act as the operator itself or solely as the technology platform and payment facilitator for an independent third-party operator.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. To use most features you must verify a mobile phone number and create an account. You are responsible for the activity that occurs under your account and for keeping your account and verification method secure. Provide accurate information and keep it current.

3. Vehicle and license plate information

You are responsible for entering the correct license plate and vehicle details for each session. Parking permissions, enforcement, and payment are tied to the plate you provide. We are not responsible for citations, towing, immobilization, or other consequences that result from an incorrect plate, an expired session, parking outside a participating location, or failing to follow the rules posted at a location.

4. Payments, fees, and authorization to charge

When you start a session you authorize us, or our payment processor acting on our and the operator’s behalf, to charge your selected payment method for the parking amount you select, plus any applicable service fee, processing fee, and taxes. Prices for a given location are set by its operator and are displayed before you confirm. By confirming a session you authorize the total shown, including charges for any time you add or extend.

Payments are processed by third-party providers (for example, Stripe). Your use of those services may be subject to their terms. We do not store full payment card numbers ourselves.

5. Extensions, overstays, and enforcement

You are responsible for ending or extending your session before it expires. If you remain parked beyond your paid time, you may be charged for the additional time, and you may be subject to the operator’s enforcement, which can include citations, fees, immobilization, or towing under the rules posted at the location and applicable law. Enforcement decisions at third-party operator locations are made by the operator, not by ParkTab.

6. Refunds

Except where required by law or expressly offered, parking charges and service fees are non-refundable once a session has started. If you believe you were charged in error, contact us at [email protected] and we will review the request. Where a charge originates with a third-party operator, any refund is at that operator’s discretion.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of posted parking rules;
• Provide false plate, vehicle, identity, or payment information;
• Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems;
• Reverse engineer, scrape, or build a competing product from the Service except as permitted by law;
• Resell or commercially exploit the Service without our written permission.

8. Communications and text messages

By providing your phone number you consent to receive account, verification, and transactional messages (such as session and receipt notifications) by SMS and other means. Message frequency varies based on your use of the Service. Message and data rates may apply. Reply STOP to any message to opt out of SMS, or START to re-subscribe; reply HELP for help. You can also manage notification preferences in the app; note that some transactional messages are necessary to provide the Service.

9. Intellectual property

The Service, including its software, design, and trademarks, is owned by ParkTab, Inc. and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain rights to the content you submit, and you grant us a license to use it as needed to operate and improve the Service.

10. Third-party services and operators

The Service relies on and links to third parties, including payment processors, authentication, messaging, and parking operators. We are not responsible for the acts, omissions, goods, services, or content of third parties. Your dealings with a parking operator at a location are between you and that operator.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT A SESSION WILL PREVENT A CITATION, TOWING, OR OTHER ENFORCEMENT ACTION.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARKTAB, INC. AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless ParkTab, Inc. and its affiliates from any claims, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination — including payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

15. Dispute resolution; arbitration; class-action waiver

Please read this section carefully — it affects your legal rights. You and ParkTab, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court. Arbitration will be administered by a recognized arbitration provider under its consumer rules, and judgment on the award may be entered in any court with jurisdiction.

Class-action waiver. You and ParkTab, Inc. agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.

Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with your name, the phone number or email on your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the “Last updated” date above. Your continued use of the Service after changes take effect means you accept the revised Terms.
